Tutor Agreement

This Agreement is between Konit, LLC, a Delaware limited liability company (131 Continental Dr, Suite 305, Newark, DE 19713, USA — "Konit", "Dublo", "we") and each approved Dublo tutor. It governs teaching on the Dublo tutor marketplace and supersedes the Tutor Application Terms for the matters it covers. You accept it in the tutor panel before your profile goes live; you cannot be booked before accepting.

1. Independent contractor

You teach as an independent contractor. Nothing in this Agreement creates employment, agency, partnership or franchise. You choose your prices, your availability and your teaching methods. You are responsible for your own taxes, social contributions, registrations and legal compliance in your country, and you confirm you may lawfully provide online tuition from where you live.

2. The marketplace

Dublo provides the infrastructure around your teaching: your public profile page, scheduling and booking, payment collection, the online lesson room, and learners who arrive through the Dublo course. Dublo is not the provider of tuition and does not supervise lesson content, though we set the conduct standards below. We may approve, pause or remove profiles at our discretion, including for the reasons in Section 9.

2a. How tutors are ranked, and where you are treated differently

The tutor directory is ordered by two parameters only, in this order:

1. Whether you offer a free trial lesson (Section 4). Tutors who do appear above tutors who do not. This is the single largest factor, and it is deliberate: a learner who has never taken a lesson converts far more readily when they can try one, so the tutors carrying that cost get the visibility in return.
2. How long you have been approved on Dublo, earliest first, among tutors in the same group above.

Nothing else moves you up or down: not your price, not your rating, not how many lessons you have taught, and no tutor can pay for placement. Your public profile page is generated from the same order. If we add a ranking parameter or change the weight of one, we tell you at least 30 days beforehand — the same notice period as any other change under Section 13 — and update this section and the public description on the Teach on Dublo page, which anyone can read without an account.

The only ways Dublo treats tutors differently from one another are the trial-lesson ranking above and the commission rate in Section 4. We do not offer our own competing tuition, we do not give any tutor preferential access to data, and we do not rank tutors we have a separate commercial relationship with any higher.

3. Lessons

Lessons are 50 minutes, one-to-one, held in the Dublo lesson room at the booked time. You agree to: be punctual and prepared; teach the full duration; keep your availability accurate; and conduct lessons yourself (no substitutes). Lessons may not be recorded by either side without the other's clear consent. If you cannot attend, cancel as early as possible through the panel — a cancelled or missed lesson on your side is always fully refunded to the student, and repeated cancellations or no-shows may lead to pausing your profile.

4. Pricing, commission and processing

You set your rate per lesson and can change it any time; changes apply to future bookings only. Dublo's commission is the rate published on the Teach on Dublo page at the time a lesson is booked (currently 30%), calculated on your rate. Payment-provider processing costs (about 3% + $0.30 per lesson) are deducted and shown as their own line. The rate and commission recorded at booking never change afterwards, whatever happens to the published rates. Rate changes are announced at least 30 days in advance.

List price. The price students see and pay is not your rate: Dublo adds a margin of 15%, rounded up to the next whole unit of currency, and that total is the list price. The margin belongs to Dublo and funds the lesson-credit reward described in our Terms of Service. It is never taken out of your rate — your earnings are calculated only from the rate you set, exactly as described above, whether or not a student pays partly with lesson credit. Your rate and the current list price are both shown to you in the tutor panel.

Free trial lessons (optional). You may opt in, in the panel, to offer one free trial lesson. Tutors who do are shown first in the tutor directory and carry a trial badge on their profile. A Dublo Premium member may book one free 50-minute lesson with you; for that lesson you receive no payment and Dublo takes no commission, so it is a promotional investment by you and by us in equal spirit. Everything the student books after it is a normal paid lesson at your rate. You can switch this off at any time, and doing so never affects trial lessons already booked or your standing on the platform.

5. Payouts

Students pay Dublo per lesson; your net earnings accrue to your balance and are paid out through Stripe Connect to the account you connect in the panel. Completing Stripe's onboarding (identity and banking details, collected by Stripe under its own terms) is required before your first payout. Payouts run monthly, on the 25th, and cover every lesson you taught up to the end of the previous month — a gap we keep deliberately so that refunds and disputes are settled before you are paid, and money never has to be taken back from you. A balance below $60 is not paid out that month; it stays yours and rolls into the next payout. Obvious errors (double charges, misapplied refunds) may be corrected in later payouts, and we will tell you when that happens.

6. Cancellations and refunds

The student-facing rules in our Refund & Cancellation Policy apply to your lessons: students cancel free up to 12 hours before the start; later cancellations and student no-shows are still paid to you; your own cancellations and no-shows are always refunded to the student and never paid to you. If a technical failure of the Dublo lesson room prevents a lesson, the student is refunded or rebooked at no cost, and you are not penalised.

7. Students and non-circumvention

Learners who found you through Dublo are introduced to you by the platform. For 12 months after such a learner's last Dublo lesson with you, you agree not to solicit or accept direct off-platform payment from them for language tuition. Asking a Dublo-introduced student to pay you outside the platform is a material breach and leads to removal. (Publicising your own profile link is encouraged — that is what it is for.)

8. Student data

For learners who book you, Dublo shows you their display name and a limited view of their course progress (current unit, recent vocabulary, recent difficulties) so lessons can build on what they know. You may use this information only to prepare and deliver that student's lessons. You must keep it confidential, must not export or share it, and must delete anything you noted down if the student or Dublo asks.

9. Conduct

Students are adults. Dublo lessons may only be booked by learners aged 18 or over, and every student confirms this before their first booking. You must not knowingly teach a minor through Dublo. If at any point you believe the person in the lesson is under 18, end the lesson politely and tell us at support@dublolearn.app the same day; you will still be paid for that lesson. Never arrange contact with a student outside the platform, and never ask a student for personal contact details.

Keep lessons professional and safe. The following lead to pausing or removal: harassment or discrimination; teaching or soliciting a minor; misleading profile claims; repeated lateness, cancellations or no-shows; soliciting off-platform payment from Dublo-introduced students; recording without consent; or any unlawful behaviour. We investigate reports fairly and tell you what was decided.

10. Your content and Dublo's content

You keep ownership of your own teaching materials. Your profile content (name, photo, video, bio) is licensed to Konit as described in the Application Terms, for presenting and reasonably promoting you as a tutor. Dublo's course content belongs to Konit and its licensors; you may reference it in lessons with your students but may not copy, resell or redistribute it.

11. Term and termination

If we restrict, pause or remove you, you get the reasons. Before or, where that is not possible, at the moment we restrict or suspend your profile, we send you a statement in writing giving the facts and circumstances that led to the decision, the clause of this Agreement or the law it relies on, and whether it followed a report from someone else, our own checks or a legal obligation. For a full termination of this Agreement by us, that statement comes with at least 30 days' notice, unless we are under a legal obligation to act sooner, we are responding to repeated breaches, or the delay would put learners at risk — in which case we say which of those applies. You can contest any of these decisions by replying to that statement; a person not involved in the original decision reviews it, and we reinstate you if it was wrong.

Either side can end this Agreement at any time: you by pausing or deleting your tutor profile, we by written notice. Booked lessons at the time of termination are either taught as scheduled or cancelled with a full refund to the student. Earned, unpaid balances are still paid out on the normal schedule unless withheld for a genuine breach investigation. Sections 7, 8, 10 and 12-14 survive termination.

12. Liability

To the extent the law allows: Dublo provides the marketplace "as is"; we are not liable for lost profits or indirect damages; and our total liability to you under this Agreement is capped at the commissions we earned from your lessons in the 12 months before the claim. Nothing limits liability that cannot lawfully be limited. You are responsible for what you teach and for your conduct in lessons, and you will indemnify Konit against third-party claims arising from your breach of this Agreement.

13. Changes to this Agreement

We may update this Agreement with at least 30 days' notice by email and in the panel. Continuing to accept bookings after the effective date means acceptance; material changes may also ask for an explicit re-acceptance in the panel. Lessons already booked stay under the terms they were booked under.

14. General

This Agreement is governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules; mandatory protections of your country of residence remain unaffected where they apply. If a provision is unenforceable, the rest stands. This Agreement plus the documents it links form the entire agreement about tutoring on Dublo.
