Affiliate Program Agreement

This Agreement is between Konit, LLC and each approved Dublo affiliate. An affiliate is an independent contractor, not an employee, agent, franchisee, legal representative or partner of Konit or Dublo.
1. Agreement and eligibility
You accept this Agreement when you submit an application, accept an updated version in the partner panel or participate in the Dublo Affiliate Program ("Program"). You must be at least 18 and legally able to receive payments. Applying does not guarantee approval. We may approve, reject, suspend or end participation based on brand safety, compliance, fraud or business considerations.
2. Parties and independent status
The Program is operated by Konit, LLC ("Konit", "we", "us"). You operate independently and control when, where and how you create lawful promotional content. You cannot bind Konit, negotiate for us, collect customer payments, promise support outcomes, incur expenses in our name or represent that you are employed by or officially speak for Dublo.
You are responsible for your equipment, expenses, permits, insurance, tax reporting and taxes. Nothing creates employment, agency, partnership, joint venture, franchise or fiduciary duties.
3. Referral attribution
Approved affiliates receive a unique referral link or code. A referral qualifies only when:
- the customer intentionally uses your valid link or code;
- tracking and checkout records attribute the transaction to you;
- the transaction is successfully paid through an eligible Dublo web checkout;
- the transaction is not fraudulent, refunded, disputed, reversed, self-referred or otherwise disqualified.
Attribution may be affected by blocked storage, another valid referral used later, device changes or customer action. Our good-faith records control unless you show a clear error. Store purchases, offline payments, complimentary access and transactions that cannot be reliably attributed are not eligible unless we agree in writing.
4. Commission pool and duration
The standard affiliate pool is 30% of the applicable undiscounted web plan price, excluding taxes, refunds and non-product charges. You may allocate that pool between customer discount and your commission under Section 5. Subject to this Agreement, commission applies to eligible payments made by the referred customer during the first 12 months after the attributed subscription begins. No commission is earned on payments outside that period.
Examples: with a 0% customer discount, the commission rate is 30%. With a 20% customer discount, the commission rate is 10%. The combined rates always equal 30 percentage points.
5. Monthly discount choice
- The default is 0% customer discount and 30% commission.
- You may choose a whole-number customer discount from 0% through 20% in the panel.
- Your commission becomes 30% minus the selected discount.
- You may activate one split per UTC calendar month. Once activated, it cannot be changed until the next month.
- An eligible selection is approved automatically by the system and confirmed electronically.
- The discount applies only where the checkout confirms it. It may be limited to the customer's first charge or otherwise implemented as shown at checkout.
6. When commission becomes payable
Commission is initially held for at least 30 days after payment to allow for refunds, disputes and fraud review. It becomes payable only after the hold expires and all conditions remain satisfied. The normal minimum payout is USD 50. Balances below the threshold roll forward. We normally process eligible payouts monthly, but timing is an estimate rather than a guaranteed payday.
We may withhold, offset or reverse commission linked to a refund, cancellation, duplicate credit, chargeback, fraud, policy breach, sanctions issue, payment-provider reserve or calculation error. If a reversal occurs after payout, we may deduct it from future earnings or request repayment.
7. Stripe Connect and taxes
Payouts are normally made in USD through Stripe Connect Express. You must complete Stripe's identity, tax and bank verification and keep the information current. Stripe's connected-account terms and fees may apply. We do not receive your complete bank credentials. If payouts are disabled or required information is missing, we may hold the balance until the issue is resolved, subject to law.
You are responsible for determining and paying your taxes. We may collect tax forms, report payments, make required withholding or suspend payment until legally required information is supplied.
8. Required affiliate disclosures
Every endorsement must clearly and conspicuously disclose that you may earn money. The disclosure must appear close to the recommendation or link, before a viewer acts, and in the same language as the promotion. A code alone, "affiliate link" alone or a disclosure hidden in a profile, comments or terms page may be insufficient.
Acceptable plain-language examples include: "I earn a commission if you purchase through this link", "Paid affiliate link", or a prominent "#ad" where that is clear in context. Video endorsements should include a visible and, where practical, spoken disclosure. Live streams should repeat it periodically.
9. Honest claims and brand rules
You must:
- give honest opinions and disclose material connections;
- use current, supportable product and price statements;
- state that individual learning outcomes vary;
- use approved assets without distorting the logo or implying ownership;
- correct or remove content promptly when we identify a legal, factual or brand-safety issue.
You must not promise fluency, guaranteed results, medical or immigration outcomes, guaranteed savings, permanent prices or features we have not approved.
10. Prohibited promotion
You must not use:
- spam, unsolicited bulk messages, unlawful automated messages or purchased contact lists;
- cookie stuffing, forced clicks, hidden redirects, misleading buttons or attribution manipulation;
- self-referrals, transactions for your household or artificial/duplicate accounts;
- false scarcity, fake reviews, impersonation or undisclosed paid endorsements;
- domains, usernames or ads that impersonate Dublo or contain confusing misspellings;
- paid search bidding on "Dublo" or close variants unless we approve it in writing;
- coupon, cashback, browser-extension or sub-affiliate distribution without written approval;
- illegal, hateful, sexually exploitative, violent, discriminatory or rights-infringing content;
- promotion to children or collection of customer payment credentials.
11. Intellectual property
While approved, you receive a limited, revocable, non-exclusive, non-transferable licence to use Program-provided Dublo marks and assets solely to make compliant referrals. You gain no ownership. Stop using the materials when participation ends or when requested. You grant us permission to review, archive and reproduce your Dublo-related promotion for compliance, records and Program administration, but not to imply an endorsement beyond what you published without separate permission.
12. Monitoring and records
You must register the public channels you use, provide links or copies of relevant promotions on request and preserve promotion and disclosure records for at least two years. We conduct recurring risk-based monitoring, including monthly review of high-volume affiliates and sampling of other active affiliates. You must correct or remove a non-compliant promotion promptly after notice. We may suspend tracking or payment while investigating. Attempting to conceal traffic sources is a material breach.
13. Confidential information
Non-public campaign plans, security information, unreleased features, private rates and partner-panel data are confidential. Use them only for the Program and protect them from unauthorised access. This does not cover information that becomes public without your breach or that you independently developed.
14. Suspension and termination
Either party may end participation at any time by notice. We may suspend links or payments immediately for suspected fraud, unlawful conduct, sanctions, brand impersonation, security risk or material breach. Valid commission earned before termination remains payable after holds and offsets; commission connected to prohibited conduct is forfeited to the extent permitted by law.
15. Changes to the Program
We may change future rates, eligible products, attribution, thresholds or Program features. Material changes will be posted in the panel or sent electronically before taking effect. Changes do not retroactively remove commission already earned under the version then in force. Continued participation after the effective date constitutes acceptance where legally permitted; otherwise we will request fresh acceptance.
16. Warranties, indemnity and liability
You promise that your promotions and participation comply with law, platform rules and this Agreement and do not infringe third-party rights. To the extent permitted by law, you will defend and reimburse Konit and its affiliates, licensors, distributors, app publishers, contractors, officers, directors, employees and agents for third-party claims, regulatory costs and reasonable professional fees caused by your breach, fraud, infringement, misleading claim or undisclosed or unlawful promotion.
Neither party is liable for indirect or consequential damages. The combined aggregate liability of Konit and those protected parties arising from the Program is limited to unpaid commission validly earned by you during the six months before the claim. These limits do not apply where law forbids them or to fraud or wilful misconduct. Those protected parties are intended third-party beneficiaries of this Section.
17. Governing law and disputes
This Agreement is governed by Delaware law. The parties will first try in good faith to resolve a dispute by email for 30 days. Courts located in Delaware have exclusive jurisdiction, except where mandatory law requires otherwise.
18. General
You may not transfer or subcontract participation without written approval. Konit may transfer the Program as part of a reorganisation or sale. This Agreement, the applicable privacy policy and any written campaign-specific terms are the entire agreement about the Program. If a provision is unenforceable, the rest remains effective. Electronic acceptance and records are binding to the extent permitted by law.
